Registering a company in India is a structured process governed by the Companies Act, 2013 and administered by the Ministry of Corporate Affairs (MCA). Here is the complete process, step by step.

Types of Companies You Can Register

Before starting, decide the structure that fits your needs:

For most startups and SMEs, Private Limited Company is the preferred choice due to limited liability, ease of fundraising, and credibility.

Step 1: Obtain Digital Signature Certificate (DSC)

Every proposed director needs a Class 3 Digital Signature Certificate. This is used to sign electronic documents filed with MCA.

How to get DSC:

  • Apply through a Certifying Authority (e.g., eMudhra, Sify, nCode)
  • Documents needed: PAN card, Aadhaar, passport-size photo, email ID, mobile number
  • Processing time: 1-2 working days
  • Cost: Approximately Rs 500-1,500 per person
  • Validity: 2 years (renewable)

Step 2: Apply for Director Identification Number (DIN)

DIN is a unique identification number assigned to every director. Since the SPICe+ form was introduced, DIN allotment is integrated into the incorporation process itself—you no longer need to apply separately.

For existing directors who already have DIN, their number is linked during incorporation.

Step 3: Name Reservation via RUN (Reserve Unique Name)

Choose a unique company name and apply through the RUN service on MCA portal.

Name selection guidelines:

  • Must not be identical or too similar to an existing company or LLP
  • Must not contain words prohibited under the Emblems and Names Act
  • Should reflect the main business activity
  • Can include the founder's surname
  • Two name choices allowed per application

Processing time: Usually 1-3 working days. If rejected, you can reapply with new names.

Step 4: File SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus)

SPICe+ is an integrated form that combines multiple registrations:

Part A: Name reservation (if not done through RUN) Part B: Incorporation details including:

  • Company details (registered office address, capital structure)
  • Director and subscriber details
  • Memorandum of Association (MOA) and Articles of Association (AOA)

Linked registrations through SPICe+:

  • PAN and TAN of the company (automatic)
  • GST registration (if applicable)
  • EPFO registration (if applicable)
  • ESIC registration (if applicable)
  • Professional Tax registration (state-specific)
  • Bank account opening (through AGILE-PRO-S form)

Step 5: Draft MOA and AOA

The Memorandum of Association defines the company's objects, capital, and scope. The Articles of Association define internal rules for management and operations.

For standard businesses, MCA provides model templates (Table F for private limited companies). You can customize these based on your requirements.

  • Authorized share capital and class of shares
  • Powers and restrictions of directors
  • Transfer of shares provisions
  • Dividend policy
  • Borrowing powers

Step 6: Submit Documents and Pay Fees

Documents to attach with SPICe+:

  • Identity proof of all directors (PAN mandatory for Indian nationals; passport for foreign nationals)
  • Address proof of directors (not older than 2 months)
  • Registered office proof: Rent agreement or ownership deed + NOC from owner + utility bill
  • Declaration by first directors (INC-9)
  • Declaration by professionals (INC-8) if filed by CA/CS/CMA

Government fees depend on authorized capital:

  • Up to Rs 1 lakh: Rs 500
  • Rs 1 lakh to Rs 5 lakhs: Rs 2,000
  • Rs 5 lakhs to Rs 10 lakhs: Rs 5,000
  • Rs 10 lakhs to Rs 50 lakhs: Rs 10,000
  • Above Rs 50 lakhs: Rs 15,000 + additional for stamp duty

Step 7: Certificate of Incorporation

Once MCA approves the application, you receive:

  • Certificate of Incorporation with Company Identification Number (CIN)
  • PAN and TAN of the company
  • GST registration (if applied)

The company is legally born on the date mentioned in the Certificate of Incorporation.

Post-Incorporation Compliance

Within the first few months after incorporation, complete these:

  1. Open a current bank account in the company name
  2. Issue share certificates to subscribers within 60 days
  3. Appoint first auditor within 30 days of incorporation (Board resolution)
  4. File commencement of business declaration (INC-20A) within 180 days
  5. Hold first Board Meeting within 30 days
  6. Maintain statutory registers (Members register, Directors register, Charges register)

  • Choosing a name too similar to existing companies (causes rejection delays)
  • Incorrect classification of business activities (NIC codes)
  • Not having proper address proof for registered office
